Nature of Services

Leading Tone LLC (“we,” “us,” or “our”) provides software tools for portfolio data visualization and analysis. We access brokerage account data on a read-only basis and do not place trades, move funds, or take any action in your accounts. We are not a registered investment adviser (RIA) and do not provide investment advice, recommendations, or portfolio management services.

Client Responsibility

You are solely responsible for all investment decisions and trading activity conducted through our software. Specifically:

• —You initiate and authorize all trades. We do not have discretionary authority over your accounts.
• —You are responsible for understanding the risks associated with trading and investing.
• —You are responsible for ensuring compliance with applicable laws and regulations.

Service Provided “As-Is”

Our software is provided on an “as-is” and “as-available” basis without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the maximum extent permitted by law, Leading Tone LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or trading losses, arising out of or related to your use of our services.

Acceptable Use

You agree not to:

• —Attempt to gain unauthorized access to our systems or other users' accounts
• —Interfere with or disrupt the integrity or performance of our services
• —Reverse engineer, decompile, or otherwise attempt to derive source code from our software

Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. You may terminate your use of our services at any time by revoking access to connected accounts and discontinuing use.

Modifications

We reserve the right to modify these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the modified terms.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles.
